TERMS OF SALE                2024


1. PRICING – All orders are subject to acceptance by AHT Cooling Systems USA, Inc (Seller), must be made in writing and are subject to credit approval prior to shipment. All prices are for material packed for domestic shipment for delivery C.P.T. point of distribution or manufacture. Acceptance of orders is based on present costs, and is subject to increase by Seller at any time prior to delivery in respect to all or any portion of the material on order to the extent necessary to cover Seller’s increased costs applicable thereto. 


2. TAXES – The Buyer shall be liable for all Federal, State, and Local taxes. The Buyer agrees to indemnify and hold Seller harmless from and against any and all claims asserted against Seller relating to the liability for sales and use tax, or any other tax, fee or charge imposed on or in connection with any goods or services purchased from Seller.


3. PAYMENT TERMS – New customers preferring an open account must submit three (3) trade references and a bank reference prior to order entry. Orders needing credit references which have not been received by Seller will be processed on a C.O.D. or C.I.A. basis. Seller’s terms are Net 30 days, unless otherwise specified. A minimum service charge of 1 1/2 percent per month will be imposed on all past due balances. Buyer is also responsible for reasonable collection expenses, including attorney fees, should collection efforts be required.


4. DEFAULT/CANCELLATION – If Buyer shall fail or refuse to accept delivery of the equipment and parts ordered hereunder or shall default in the performance of any of the terms, covenants and conditions of this agreement, Seller may retain the cash deposited or paid to it and apply the same toward payment of its damages. All canceled orders and returned goods may be subject to a minimum of 25% cancellation and/or restocking charge. Merchandise may not be returned without written authorization from the Seller. Requests for return must be made within twenty (20) days after shipment. Custom or modified units cannot be returned. Buyer may cancel its order, reduce quantities, revise specifications or extend schedules only by mutual agreement which shall take into account expenses already incurred and commitments made by Seller, and Buyer shall indemnify Seller against any loss.


5. DELIVERY – Shipping dates are approximate and based on prompt receipt of all necessary information. All risks of loss shall be on Buyer from point of shipment. Buyer shall pay all transportation and delivery charges to final destination. Claims for shortages or incorrect merchandise must be made in writing to the Seller within ten (10) days after receipt of merchandise. FREIGHT DAMAGES OR DELAYS ARE NOT THE RESPONSBILITY OF SELLER. Any claim for damaged merchandise must be processed through the delivering carrier by the consignee. AHT Cooling Systems USA, Inc may assist in filing the claim in order to expedite the claim. Seller shall not be liable for loss or damage due to delay in delivery, manufacture or installation resulting from any cause beyond the Seller’s reasonable control, including but not limited to, acts of force majeure, or inability to obtain necessary labor or materials from the Seller’s usual sources; and any delays resulting from such cause shall constitute cause for extending delivery dates and receipt of the goods shall constitute a waiver of all claims for damages. In no event shall Seller be liable for special or consequential damages.


6. SPECIFICATIONS – All orders will be manufactured and invoiced as specified on the Seller Order Acknowledgement. If corrections or additions are required by the customer, Seller must be advised in writing immediately. If this is not done, it is assumed by Seller that the customer has examined and approved the acknowledgement as written, including these terms and conditions.


7. INSTALLATION – Unless otherwise specifically agreed, installation of equipment purchased from the seller shall be by others. All costs of installation including but not limited to costs of electrical work, plumbing, sweeping, or general cleanup shall be on a separate contract by others to the buyer. In no event shall Seller be responsible for any additional charges that installers may impose in fulfillment of their contract.


8. WARRANTY – The buyer acknowledges acceptance of Seller’s standard warranty as a condition of purchase, and that Seller has not made nor implied any additional or replacement to the standard warranty.


9. INDEMNIFICATION – Buyer agrees to Indemnify, Hold Harmless, and Defend Seller from and against any and all liabilities and expenses arising out of injury or damage which results from Buyer’s misuse, misapplication, or failure to inspect, maintain, or repair products which are the subject of the agreement.


10. APPLICABLE LAW – The rights and obligations of Seller and Buyer under this order shall be governed by the laws of the State of South Carolina. No waiver, modification, or addition to any of the terms of this order shall be binding on Seller unless made in writing by an authorized representative of Seller. The provisions hereof are intended by Buyer and Seller as a final expression of their agreement and are intended also as a complete and exclusive statement of all terms applicable to Buyer’s order.



GENERAL WARRANTY2024


Ninety (90) day Labor Warranty & (1) year parts Warranty:


AHT Cooling Systems, USA (“AHT”) warrants that every new AHT manufactured cabinet, and all parts shall be free from defects in material or workmanship, under normal and proper use and maintenance service as specified by AHT and upon proper installation and startup in accordance with the instruction packet supplied with each AHT unit. Except as other wise set forth herein, AHT’s obligation under this warranty is limited to a period of one (1) year from the date of original shipment.


Any parts covered under this warranty that AHT determines to have been defective within the Warranty Period is limited to the repair or replacement, including labor charges of defective parts or assemblies. The labor warranty shall include standard straight time labor charges only and reasonable travel time as determined by AHT.  AHT must authorize all labor.  All costs not covered under warranty will be the responsibility of the original purchaser.


Our obligation under this warranty shall be limited to repairing or replacing OEM factory parts on any of such products, which proves thus defective which our examination shall disclose to our satisfaction to be defective.


1.     Any part returned to the company under the terms of this warranty must be accompanied by a record of the cabinet model, serial number and return authorization number, and such return shall be on the basis of TRANSPORTATION CHARGES PREPAID BY AHT.


2.     Improper operation due to low or high voltage conditions, inadequate wiring, and accidental damage are not manufacturing defects and are strictly the responsibility of the purchaser.


The term “Original Purchaser” as used herein shall be deemed to mean that person, firm, association of corporation for whom the Refrigeration Unit referred to herein is originally purchased, are covered by the standard warranty



For OEM equipment other than AHT the warranty is based on the warranty terms and conditions of the manufacturer (Heatcaft Bon, RollSeal, Guentner, etc.). 


No claims can be made against this warranty  or AHT for loss of product.


These warranties are in lieu of all other warranties, expressed or implied, and of all other obligations or liabilities on our part. We neither assume nor authorize any other person to assume for us any other obligation or liability in connection with the sale of said refrigeration units or any part thereof. This warranty shall not be transferred and shall be honored only in so far as to the original purchaser.


Warranty Claims: All claims for labor or parts must be made directly through AHT.  All claims should include:  model number of the unit, the serial number of the cabinet, proof of purchase, date of installation, and all pertinent information supporting the existence of the alleged defect.


Transportation Claims: In the event parts need to be sent back to AHT, we will accept parts under this warranty on the basis of transportation charges prepaid by AHT.


What is not covered by this warranty: Except as otherwise set forth herein, AHT’s sole obligation under this warranty is limited to either repair or replacement of parts, subject to the additional limitations below. This warranty neither assumes nor authorizes any person to assume obligations other than those expressly covered by this warranty. Units moved from their original location of placement will void the warranty.  Original location of placement is defined as the original operating location with the unit in use in a product for sale environment. 


Units repaired or serviced by Non Certified Refrigeration Technicians will also be deemed void of this warranty.


No consequential damages: AHT is not responsible for economic loss, profit loss, or special, indirect, or consequential damages, including without limitation, losses or damages arising from food or product spoilage claims whether or not on account of refrigeration failure.


Warranty is not transferable: This warranty is not assignable and applies only in favor of the original purchaser / user to whom delivered. Any un-permitted assignment or transfer shall void all warranties, expressed or implied, including all warrant of merchantability or fitness for a particular purpose.


Improper usage: AHT assumes no liability for parts or labor coverage for component failure or other damages resulting from improper usage or installation, moving to another location, or failure to clean and/or maintain product as set forth in the warranty packet provided with the unit.  This packet also outlines the conditions of the environment with respect to ambient temperature and humidity that must be maintained by the purchaser at levels in which the unit is designed to operate.  Units placed in conditions outside these specified parameters may also result in voiding of this warranty.


Alteration, neglect, abuse, misuse, accident, damages during transit, installation, moving to another location, fire, flood, or acts of God: AHT is not responsible for the repair or replacement of any parts that AHT determines have been caused after the date of purchase by alteration, neglect, abuse, misuse, accident, damage during transit or installation, fire flood, or act of God.


Improper electrical connections: AHT is not responsible for the repair or replacement of failed or damaged components resulting from electrical power failure, the use of extension cords, low or high voltage, or voltage drops to the unit.


NO IMPLIED WARRANTY OF MERCHANTABILTY OR FITNESS FOR A PARTICULAR PURPOSE: THERE ARE NO OTHER WARRANTIES, EXPRESSED, IMPLIED OR STATUTORY, EXCEPT THE ONE (1) YEAR PARTS WARRANTY & NINETY (90) DAYS LABOR WARRANTY AS DESCRIBED ABOVE. THESE WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTY AND MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION ON THE FACE HEREOF.


OUTSIDE United States and Canada: This warranty does not apply to any warranty claims made on products sold or used outside of the United States and Canada.


Limitation of Liability AHT or their affiliates shall not be liable for any indirect, incidental, special or consequential damages, or losses of a commercial nature arising out of malfunctioning equipment or its parts or components thereof, as a result of defects in material or workmanship.


AHT reserves any and all legal and administrative rights to approve or deny warranty coverage based on any and all circumstances contained in this warranty document and with conditions, statements, findings, and recommendations of Certified Refrigeration Technicians as to the condition and environment of said unit when dispatched and to asses warranty repair claims as to actual merit and validity of the claim on a case by case basis as being an actual factory defect or not.


THE ORIGINAL OWNER’S SOLE AND EXCLUSIVE REMEDY AND AHT’S SOLE AND EXCLUSIVE LIABILTY SHALL BE LIMITED TO THE REPAIR OR REPLACEMENT OF PARTS OR COMPONENTS CONTAINED IN THE EQUIPMENT IDENTIFIED ABOVE WHICH UNDER NORMAL USE AND SERVICE MALFUNCTION AS A RESULT OF DEFECTS IN MATERIAL OR WORKMANSHIP, SUBJECT TO THE APPLICABLE PROVISIONS AND LIMITATIONS STATED ABOVE.


GENERAL PROCEDURES FOR ALL AHT CABINETS


AHT works to provide some flexibility; therefore, we offer three options for handling warranty service requests.  Please work with your National Account Manager to determine the preferred method, within your entire organization, for the handling of Warranty and Service.


Please review and select the best process by utilizing one of the following options:


a.     Have the store call AHT directly as soon as a problem/concern is recognized.  This is the preferred AHT method as it will allow for brief trouble shooting over the phone and many times, resolves any issue immediately.  If a technician is required, then AHT would dispatch one from our network. 


b.     Retailer Facility Maintenance department call AHT Service/Technical support as soon as a problem/concern is recognized – prior to sending out a technician.  If a technician is required AHT can dispatch one from our network or if preferred, work to qualify the retailers preferred service provider.


c.     The store goes through their normal procedures and if their own maintenance is required to dispatch a technician – then the technician calls AHT at arrival to the store.


Our preferred method is (a), because in our experience over 80% of the issues can be resolved over the phone and many of the times these issues are non-warranty – so it reduces cost to the retailer and most of the time provides faster resolution for the store.  In addition, the technicians we work with are more familiar with the AHT line.  Here are examples of non-warranty related items:

o    General Maintenance Cleaning, Clogged Drain Lines

o    Condenser Cleaning

o    Inadequate or incorrect Power Supply or Tripping Breaker

o    Unit being unplugged, Unit being turned off or placed into defrost

o    Light turned off or Bulb burned out

o    Loading product prior to unit reaching desired temperature


When calling in for service/tech support we require the following pieces of information:

o    Name of Store/Company

o    Physical Location (confirming unit at this location)

o    Store Phone Number

o    Model (ie Malta 185 -, Paris 145 -, AC W)

o    Serial Number (located on the back of unit and on the inner top frame (by sliding lids) – it is a 14 digit number
